Goldback Coffee Club

GoldBack Coffee Founder Program Structure
1. Program Purpose
The GoldBack Coffee Founder Program is designed to recognize and reward the early leaders who help launch the brand, develop customers, recruit affiliates, and establish retail distribution. Participants earn Founder status by producing measurable coffee sales during the official pre-launch period.
2. Founder Qualification Period
  • Official launch date: Dec 04 2026
  • Qualification period: 60–90 days
  • Participation: Open to registered GoldBack Coffee affiliates
  • Number of Founder positions: First 100 qualified affiliates
  • Suggested qualification: 5,000 verified coffee units sold through the affiliate’s personal customers and organization
Founder positions are awarded in the order that qualifications are verified—not merely when sales are reported.
3. Qualifying Sales
Eligible volume may include:
  • Personal online customer orders
  • Monthly coffee subscriptions
  • Affiliate-organization customer sales
  • Approved retail and Commercial orders
  • Fundraising and Organizational orders
  • Verified event sales
  • Qualified International orders
Canceled, refunded, fraudulent, test, complimentary, or unpaid orders do not count toward Founder qualification.
4. Founder Benefits
Qualified Founders may receive:
  • Official GoldBack Coffee Founder designation
  • Digital and physical Founder certificate
  • Founder identification number
  • Recognition on the GoldBack Coffee website
  • Founder merchandise and promotional materials
  • Invitations to Founder leadership meetings
  • Early access to products, markets, and corporate announcements
  • Eligibility for a Founder Bonus Pool
  • Priority consideration for advisory or regional leadership roles
Founder status does not automatically give a participant authority to legally bind or represent GoldBack Coffee Inc.
5. Founder Bonus Pool 5% Corporate Shared Pool
A recommended structure is to reserve up to 5% of a designated Founder incentive pool for the first 100 qualified Founders.
The final legal documents must specify:
  • Whether the benefit is actual company equity, profit-sharing, bonus units, contractual revenue participation, or another incentive
  • The exact percentage granted to each Founder
  • Whether awards vest over time
  • Continued-performance requirements
  • Transfer and resale restrictions
  • Repurchase rights
  • Treatment of inactive or terminated affiliates
  • Voting and information rights, if any
GoldBack Coffee Inc. should not advertise or promise “equity” unless the company has formally authorized the equity issuance and qualified securities counsel has approved the offering and supporting documents.
6. Recommended Allocation Method
If all 100 Founder positions qualify, the designated pool may be divided equally or according to performance.
Allocation method Structure
Equal allocation Each qualified Founder receives an equal portion of the designated pool
Performance allocation Awards are based on each Founder’s verified sales volume
Hybrid allocation Half of the pool is divided equally and half is based on performance
Tiered allocation Larger awards are granted to Founders reaching higher sales milestones
A hybrid structure is recommended because it rewards every qualified Founder while also recognizing exceptional sales production.
7. Suggested Founder Levels
Founder level Verified organizational sales Recognition
Founding Affiliate 1,000 coffee units Certificate and official recognition
Executive Founder 2,500 coffee units Leadership access and Founder merchandise
Equity-Qualified Founder 5,000 coffee units Eligibility for the Founder Bonus Pool
Global Founder 10,000 coffee units Enhanced allocation or special advisory recognition
Only the first 100 participants who reach the required Founder milestone and complete verification would receive a position in the limited Founder Bonus Pool.
8. Verification Process
Founder qualification should follow this process:
  1. The affiliate completes registration and accepts the GoldBack Coffee Founder Program rules.
  2. All customer and retail orders are tracked through the official GoldBack Coffee platform.
  3. GoldBack Coffee Inc. verifies payments, refunds, cancellations, and customer authenticity.
  4. A compliance review confirms that approved marketing and advertising rules were followed.
  5. GoldBack Coffee Inc. issues written qualification confirmation.
  6. The qualified Founder signs any applicable Founder, equity, bonus, confidentiality, or participation agreement.
  7. Any vesting or continued-performance period begins.
The official sales and payment records maintained by GoldBack Coffee Inc. should control all qualification decisions.
9. Founder Responsibilities
GoldBack Coffee Founders are expected to:
  • Represent GoldBack Coffee Inc. professionally
  • Follow approved advertising and income-disclosure policies
  • Develop genuine consumer and retail demand
  • Avoid inventory loading and self-funded artificial sales volume
  • Train affiliates in ethical customer acquisition
  • Protect confidential company information
  • Avoid misleading product, income, investment, token, or equity claims
  • Maintain any required customer or sales activity
  • Support the company’s long-term mission, brand, and culture
  • Follow all GoldBack Coffee policies and applicable laws
  • Cooperate with sales verification and compliance reviews
10. Retail and Commercial Sales
Founder candidates may develop qualified retail and commercial coffee accounts.
These sales may include:
  • Independent grocery stores
  • Convenience stores
  • Coffee shops
  • Hotels and resorts
  • Restaurants
  • Health clubs and gyms
  • Churches and nonprofit organizations
  • Corporate offices
  • Gift shops
  • Regional retail chains
  • Qualified international retailers
Large commercial orders should be verified and approved by GoldBack Coffee Inc. before being credited toward Founder qualification.
Sales cannot be divided, duplicated, reassigned, or artificially placed to create multiple Founder qualifications.
11. Affiliate Organization Sales
A Founder candidate may qualify using a combination of personal and organizational customer sales.
Organizational volume may include verified coffee purchases generated by:
  • Personally enrolled affiliates
  • Customer referrals
  • Downline affiliate organizations
  • Approved retail accounts
  • Subscription customers
  • Fundraising campaigns
  • Social-media marketing campaigns
  • Approved international sales
Recruitment by itself does not create qualifying sales. Founder qualification must be based on legitimate coffee purchases made by real customers or approved retail and commercial accounts.
12. Founder Sales Tracking
Each affiliate should receive access to a Founder tracking dashboard displaying:
  • Personal coffee sales
  • Organizational coffee sales
  • Retail and commercial sales
  • Subscription customers
  • Pending orders
  • Completed orders
  • Refunded or canceled orders
  • Total verified qualifying units
  • Current Founder level
  • Remaining volume required
  • Founder positions still available
Dashboard numbers should remain subject to final payment and compliance verification.
13. Founder Position Availability
GoldBack Coffee Inc. should publish regular updates showing:
  • Number of Founder positions available
  • Number of participants under review
  • Number of officially qualified Founders
  • Deadline for completing qualification
  • Current qualification requirements
A Founder position is not reserved simply because an affiliate begins participating. A position is secured only after the required sales are achieved, verified, and formally approved.
14. Founder Award Vesting
If the Founder benefit includes equity, profit-sharing, bonus units, or another long-term financial interest, GoldBack Coffee Inc. may establish a vesting schedule.
A suggested vesting model is:
  • 25% vested after official qualification
  • 25% vested after six months of continued compliance
  • 25% vested after 12 months of continued activity
  • 25% vested after 24 months of continued activity
Possible continued-performance requirements may include:
  • Maintaining active affiliate status
  • Remaining in good standing
  • Following company policies
  • Meeting minimum customer-sales requirements
  • Attending required Founder meetings
  • Avoiding fraudulent or misleading marketing
  • Protecting confidential information
  • Supporting the GoldBack Coffee brand
Any vesting requirements must be stated clearly in the final written agreement.
15. Founder Recognition
Qualified Founders may be recognized through:
  • GoldBack Coffee website profiles
  • Founder certificates
  • 24 Karat Goldback Reward
  • Silver Bullion Rewards
  • Gold Dollar Rewards
  • Gold Bullion Rewards
  • Silver Bullion Rewards
  • Founder identification cards
  • Founder apparel
  • Social-media announcements
  • Annual company events
  • Founder leadership calls
  • Press releases
  • Retail-launch celebrations
  • International expansion announcements
  • Founder Hall of Recognition
All public recognition should occur only after qualification has been completely verified.
16. Disqualification and Removal
A participant may be disqualified or removed from the Founder Program for:
  • Fraudulent orders
  • False customer accounts
  • Artificial sales volume
  • Excessive refunds or chargebacks
  • Misleading income or equity claims
  • Unauthorized investment solicitation
  • Unapproved product or health claims
  • Harassment or unethical conduct
  • Violation of company policies
  • Misuse of GoldBack Coffee intellectual property
  • Disclosure of confidential information
  • Conduct that damages the GoldBack Coffee brand
The final program rules should provide a written review or appeal procedure.
17. Refunds, Returns, and Adjustments
Qualifying volume may be reduced when:
  • An order is canceled
  • A payment fails
  • A customer receives a refund
  • Products are returned
  • A credit-card chargeback occurs
  • An order is determined to be fraudulent
  • An affiliate purchases inventory primarily to qualify
  • Multiple transactions are connected to artificial volume creation
If an adjustment reduces a participant below the qualification requirement, GoldBack Coffee Inc. may delay, suspend, or revoke Founder status according to the final program rules.
18. Compliance Protections
The Founder Program should clearly disclose:
  • Founder status does not guarantee income, profit, equity value, or business success.
  • Coffee sales and customer demand may fluctuate.
  • Participants are independent contractors—not employees, agents, corporate officers, or legal representatives of GoldBack Coffee Inc.
  • Compensation must be based primarily on legitimate product sales rather than recruitment.
  • GoldBack Coffee Inc. may audit suspicious, related-party, or unusually concentrated purchases.
  • The company may modify, suspend, or cancel the program where legally required.
  • Any equity, token, profit-sharing, or investment-related benefit requires separate legal documentation.
  • Previous sales performance does not guarantee future results.
  • Individual results will depend on effort, skill, customer demand, market conditions, and other factors.
19. Recommended Founder Disclaimer

The GoldBack Coffee Founder Program does not guarantee income, profit, business success, equity value, or investment returns. Founder qualification is based on verified product sales and compliance with all official program rules. Any equity, profit-sharing, bonus-pool participation, or similar benefit is subject to separate written agreements, company approval, applicable law, and final review by qualified legal counsel. GoldBack Coffee Inc. may verify all transactions and exclude canceled, refunded, unpaid, fraudulent, complimentary, test, or artificially generated orders.
